1 About these Terms
These Website Terms (Terms) govern access to and use of www.cbpla.com, its member portal and related online features, resources and services (collectively, the Website). The Website is operated by the Cross-Border Private Lenders Association (CBPLA, we, us or our). You and your mean the person using the Website and, where applicable, the organization that person is authorized to represent.
Please read these Terms before using the Website. When you create an account, purchase a membership or other service, or submit content, we will ask you to accept these Terms. For public browsing, these Terms state the conditions on which we make the Website available, subject to applicable law. If you do not agree, do not use the Website or restricted services. You may save or print these Terms.
Your confirmed order, membership plan and any additional terms clearly presented and accepted for a course, event, sponsorship or other purchase form part of your agreement with CBPLA. If they conflict with these Terms, the more specific accepted terms govern that purchase. A separately signed agreement prevails over these Terms for its subject matter. Our Privacy Policy explains our handling of personal information; accepting these Terms is not blanket consent to optional data uses or marketing.
2 What CBPLA provides
CBPLA is a professional community connecting private lenders, mortgage brokers, capital providers and industry professionals across Canada and the United States. The Website may offer membership information, educational content, events, webinars, publications, courses, professional profiles and opportunities to connect. Availability depends on your membership category and the benefits described when you join.
CBPLA is not a governmental authority, licensing body or professional regulator. Membership, a directory listing, a partner designation or a CBPLA badge does not establish regulatory approval, accreditation, financial stability, professional competence or permission to conduct business in any jurisdiction. Membership does not confer equity, ownership, governance rights or authority to act for CBPLA.
3 Educational information and independent advice
Website content is provided for general information and education. This includes the Knowledge Bank, checklists, calculators, sample documents, webinars, LendCheck, LendReady, The Cross-Border Brief, Originate Report and Deal Flow Beyond Borders, where available. Content is not legal, tax, accounting, investment, insurance, securities or other professional advice and should not be treated as advice for a particular transaction.
Laws, licensing requirements, lending rules and market conditions vary by jurisdiction and change over time. Materials may be incomplete, out of date or unsuitable for your circumstances. Calculators and examples use assumptions and are not final determinations of charges, eligibility or compliance. You must obtain appropriate independent advice and verify current requirements before acting. A course completion certificate confirms only the completion described; continuing education credit applies only where expressly identified and approved by the relevant body.
Using the Website, attending a session, reading a founder biography, contacting CBPLA or communicating with a contributing professional through CBPLA does not by itself create a lawyer-client, fiduciary or other professional advisory relationship with CBPLA, its founder, a partner or a contributor. Any professional engagement requires a separate agreement with the relevant provider. Do not send privileged, confidential client, borrower or transaction information through general forms, comments or networking features.
4 Eligibility and account security
Restricted services and purchases are intended for adults who can enter binding agreements. If you act for an organization, you must have authority to bind it and provide accurate information about your role. You must provide accurate registration and billing information and keep it current, including your email address, professional status and any representations in your member profile.
Each account may be used only by its designated user unless your membership expressly permits additional named users. Do not share credentials, resell access or allow unauthorized people to use your account. Protect your credentials and notify info@cbpla.com promptly of suspected unauthorized access. You are responsible for activity you authorize and for your failure to take reasonable account security precautions; you are not automatically responsible for a security failure caused by CBPLA.
5 Membership and access
A membership application does not guarantee acceptance. We may request reasonable information to assess eligibility and decline an application for lawful reasons. If we decline an application after collecting membership payment, we will refund that payment. Membership begins on the start date confirmed by CBPLA and continues for the term shown in your order confirmation.
Benefits, user allowances, directory eligibility and included resources are those stated for your accepted plan. Membership does not guarantee leads, referrals, financing, transactions, investment returns, access to a particular professional or attendance at every event. Some services may require separate registration or payment. Membership is not transferable without our written approval. We may update offerings, but will not materially reduce the core benefits of a paid term without offering a reasonable remedy, such as a comparable benefit or an appropriate refund.
6 Fees currency and taxes
The price, currency, membership term, payment schedule and applicable taxes will be disclosed before you complete a purchase. Canadian and United States offers may be priced separately in CAD and USD. The currency identified at checkout governs; the same numerical price in two currencies does not make them interchangeable. Your bank or payment provider may impose exchange or transaction charges outside CBPLA's control.
Fees are subject to applicable taxes unless expressly stated otherwise. Ontario HST is 13% where applicable; the tax treatment and rate for a particular purchase depend on applicable rules and will be reflected at checkout or on your invoice. Prices for later purchases or renewal terms may change on advance notice, but a posted price change does not alter an already accepted fixed-price term.
You authorize payment of the amounts and payment schedule you expressly accept. Payments may be processed by a third-party provider under its applicable terms. You must be authorized to use the payment method supplied. We may suspend paid access for overdue amounts after notice and a reasonable opportunity to correct the issue, except where immediate action is reasonably necessary to address fraud or unauthorized payment.
7 Installments renewal and cancellation
Monthly installments for an annual commitment are different from a month-to-month membership. If a plan is an annual commitment paid in installments, checkout must state the full annual obligation, installment amounts and cancellation consequences before you accept. Canceling access or future renewal does not itself cancel installments already agreed for the current annual term, subject to applicable law and any accepted cancellation policy. If checkout does not clearly disclose a longer commitment, a monthly plan will be treated as month-to-month.
Membership does not automatically renew unless automatic renewal is clearly disclosed and you expressly authorize it before purchase. Any automatic renewal arrangement must disclose the renewal period, charges or their calculation, and cancellation method. We will provide confirmations, reminders, change notices and cancellation options required by applicable law. If you did not authorize automatic renewal, membership ends at the expiry of the confirmed term unless you choose to renew.
You may request cancellation or stop future renewal through the cancellation method identified in your confirmation, through your account where available, or by emailing info@cbpla.com. An online subscription will have an accessible online cancellation method where required by law. We will confirm cancellation and its effective date. Stopping renewal ordinarily leaves access in place until the end of the paid term unless you request immediate closure or the accepted terms provide otherwise. We will not impose an undisclosed cancellation fee.
Refund rules expressly presented and accepted before purchase apply, subject to statutory rights. If no refund rule was disclosed, membership fees are not refundable merely because you choose not to use available benefits after membership has begun. This does not exclude refunds for rejected applications, duplicate or unauthorized charges, services not supplied, material failures by CBPLA or any refund required by law. Contact us to report billing errors or request a refund; no request deadline in a separate policy may override a statutory right.
8 Events courses and recordings
Event and course descriptions identify the format, included services, eligibility, dates and any additional conditions. Speakers, schedules, platforms or venues may change for reasonable operational reasons. If we cancel a paid event without providing the agreed service, we will offer a refund of its registration fee; a credit may be offered as an alternative you choose. Material rescheduling and course cancellation will be addressed under the accepted purchase terms and applicable law. Travel and other third-party arrangements are your responsibility, subject to rights that cannot lawfully be excluded.
We will disclose recording or photography arrangements before participation. Webinar recordings may include a speaker's voice, image and shared presentation and may capture participant contributions as described in the session notice. Follow any stated privacy options and do not share confidential information during a recorded session. Promotional use of an identifiable participant's image, voice or testimonial requires an appropriate separate permission or other lawful basis; these Terms alone are not a blanket promotional release.
Unless expressly permitted, you must not record, transcribe, redistribute or commercially exploit sessions or restricted recordings. You may take notes for your permitted use, without disclosing another participant's confidential information.
9 Member directory and professional connections
The member directory is accessible only within the member portal to authorized users. It is not a public directory. Profile fields and visibility choices are explained when a profile is created or updated. You must have permission to publish information about other people and authority to use any business logo or profile material you provide. We may correct, reject or remove inaccurate, misleading or inappropriate listings.
You may use directory information only for relevant, lawful professional networking consistent with the purpose of CBPLA. Do not scrape, bulk-download, harvest, sell, republish or export directory information into mailing lists, customer databases or other platforms without our permission and any required permission from the individuals concerned. Access to a profile or published email address is not itself consent to receive marketing. You remain responsible for applicable privacy and anti-spam requirements when contacting members.
Listings, badges, sponsor placements, founding partner designations and introductions are not CBPLA endorsements or guarantees. Members, partners and service providers are independent of CBPLA unless expressly stated otherwise. You must independently assess identity, licensing, qualifications, financial standing and suitability. Any engagement or transaction is between you and the relevant third party. CBPLA is not a party, agent, guarantor or escrow provider merely because a connection originated through the Website.
10 Transactions and regulatory responsibility
You are responsible for ensuring that your activities, advertising, lending, brokering, investments and cross-border transactions comply with applicable licensing, securities, consumer protection, anti-money laundering and other laws. Neither membership nor Website access authorizes a regulated activity or removes a legal requirement.
Do not use the Website to make misleading financial claims, promise guaranteed returns, solicit unlawful investments or post offers to buy or sell securities or raise capital through features not expressly approved for that purpose. CBPLA does not operate a securities exchange, crowdfunding platform or loan marketplace merely by providing educational or networking features. Any approved transaction-specific feature may require separate terms and eligibility controls.
11 Permitted use and intellectual property
CBPLA or its licensors own the Website design, brand assets and original content, subject to rights expressly identified for third-party materials. We grant you a limited, non-exclusive, non-transferable permission to access the Website and use resources made available to you for your personal professional education or your organization's authorized internal business use. Downloading is permitted only where offered or expressly authorized. Preserve attribution and proprietary notices.
Do not reproduce, publish, sell, distribute, sublicense or commercially exploit protected content or restricted resources without permission, except as permitted by law. Do not share portal materials with non-members, bypass access controls, upload protected resources to a public AI service or use them to train models or build competing content collections. A document expressly supplied as an editable worksheet or template may be adapted for its stated internal purpose, subject to any accompanying license and the need for professional review.
Member badges may be used only by eligible current members in accordance with CBPLA's brand instructions. Do not alter a badge or imply certification, guaranteed compliance, endorsement, agency or partnership. Stop using membership badges when membership ends. A sponsor or partner designation may be used only as authorized by the applicable agreement.
12 Content you submit
You retain ownership of content you lawfully submit, including profiles, comments, articles and other contributions. You grant CBPLA a non-exclusive license to host, store, format, reproduce and display that content to the audience you authorize, and to use it as reasonably necessary to operate the feature through which it was submitted. This does not transfer ownership or authorize unrelated advertising uses. Separate publishing, speaker or promotional agreements may provide additional permissions.
You confirm that you have the rights and permissions needed for your submission and that it is accurate, lawful and does not infringe rights or disclose protected information. We may moderate, correct formatting or remove submissions for legitimate operational, legal or safety reasons, but do not promise to pre-screen every contribution. On removal or account closure, we will cease ordinary display within a reasonable time, subject to legal retention, necessary backups and permissions you separately granted, as described in our Privacy Policy.
13 Prohibited conduct
You must not use the Website to commit fraud, impersonate another person, misrepresent credentials, infringe intellectual property, disclose confidential information, harass or discriminate against others, post unlawful or defamatory content, send spam, upload malicious code, disrupt service or bypass security or payment controls. Do not test security without written authorization, use automated extraction against restricted resources, or use another person's account without permission. You must comply with reasonable community and session rules communicated to you.
14 Privacy and communications
Our Privacy Policy explains what personal information we collect, how we use and disclose it, service providers and cross-border processing, retention and available privacy choices. Relevant collection notices and permissions apply to directory profiles, event participation, marketing and other features. We will not treat these Terms as consent to unrelated data sharing with sponsors or partners.
We may send account, billing, security and service communications reasonably necessary to administer your account or purchase, subject to applicable law. Marketing communications are handled separately with the consent or other lawful basis required for the recipient. You may unsubscribe from marketing using the message link or by contacting us. Unsubscribing does not cancel membership or prevent lawful, necessary account communications. Do not submit payment card details or sensitive documents through general contact forms.
15 External websites and commercial relationships
The Website may link to third-party services, products, payment systems and websites. These operate under their own terms and privacy practices. We do not control their content or performance. Check their terms before providing information or making a purchase. Contributor views are their own and do not necessarily reflect CBPLA's views.
We may have sponsorship, advertising, referral or other commercial relationships with featured organizations. Paid placements and material commercial relationships will be identified where required. Featuring an organization, including a founding partner, does not guarantee its services or confer preferential regulatory status.
16 Availability and suspension
We take reasonable steps to maintain the Website but cannot guarantee uninterrupted or error-free access. Maintenance, outages, security incidents and third-party failures may affect availability. We may change technical features or discontinue free features. For paid services, your accepted purchase terms and applicable law govern our delivery obligations and remedies.
We may restrict access, remove content or suspend or terminate an account where reasonably necessary to address a material breach, unlawful conduct, unpaid charges, security risk or harm to others. Where practicable, we will explain the reason and provide a reasonable opportunity to correct a remediable breach. Immediate action may be taken for urgent security, legal or safety concerns. You may contact info@cbpla.com to request review.
If we terminate a paid membership for our convenience rather than your material breach, we will refund the unused portion of prepaid membership fees on a proportionate basis. Termination for your material breach does not ordinarily entitle you to a discretionary refund, but does not remove any remedy required by law. Account closure and statutory privacy rights are addressed under our Privacy Policy.
17 Disclaimers
To the extent permitted by law, the Website and general educational content are provided as available, without a warranty that content is complete, current, suitable for a specific purpose or sufficient to ensure compliance. We do not guarantee business outcomes, member conduct, third-party performance or freedom from every technical defect. You must exercise your own judgment and maintain appropriate security precautions.
These disclaimers do not override an express commitment in your accepted purchase terms, excuse fraud or other liability that cannot lawfully be excluded, or remove mandatory consumer rights or warranties. Where a warranty cannot be excluded, it remains in effect to the extent required by law.
18 Limitation of liability
To the maximum extent permitted by applicable law, CBPLA and its directors, officers, employees and agents will not be liable for indirect or consequential loss, loss of profit, business opportunity or anticipated savings arising from the Website or these Terms, even if advised that such loss could occur.
Subject to the exceptions below, the aggregate liability of CBPLA and those persons for claims arising from the Website or these Terms is limited to the greater of CAD $100 and the fees you paid to CBPLA for the service giving rise to the claim during the 12 months immediately before the event giving rise to it. Multiple claims do not increase that aggregate limit.
The exclusions and cap do not apply to fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that applicable law prohibits us from excluding or limiting. They do not reduce a contractual refund owed under these Terms or your accepted order. If a limitation is unenforceable, liability is limited only to the extent the law permits. This section does not restrict a non-waivable right to bring a claim or obtain a statutory remedy.
19 Responsibility for third party claims
To the extent permitted by law, you are responsible for reasonable losses, damages and legal costs incurred by CBPLA arising from a third-party claim caused by your unlawful use of the Website, material breach of these Terms or infringement through content you submit. This obligation applies only to the extent the claim is attributable to your conduct and does not cover CBPLA's own negligence or wrongdoing.
We will give you prompt notice of a claim, subject to any lawful restrictions, and reasonably cooperate in its resolution. You may participate in the defense. Neither party may agree to a settlement imposing a non-monetary obligation or admission on the other without that party's consent, not to be unreasonably withheld.
20 Changes to these Terms
We may update these Terms and will identify the effective date of the revised version. For material changes affecting registered users, we will provide reasonable advance notice by email or a prominent account notice, except where urgent legal or security needs require earlier action. We will obtain renewed acceptance where required by law or the nature of the change.
Changes do not retroactively alter accrued rights, increase the price of an already accepted fixed-price term or materially change its core obligations without a lawful basis and any required agreement. Updated terms apply to future purchases and renewals when properly disclosed and accepted. For other continued use, revisions apply only where notice and acceptance are legally sufficient. If you do not accept a proposed material change, contact us about ending the affected service; mandatory rights and appropriate remedies remain available.
21 Governing law and general provisions
Subject to mandatory laws and rights that cannot be excluded by agreement, these Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario. The courts located in Toronto, Ontario have exclusive jurisdiction over disputes arising from these Terms, except where applicable law gives you a right to proceed elsewhere. This clause does not deprive an eligible consumer of mandatory protections in their home jurisdiction. These Terms contain no mandatory arbitration requirement or class action waiver.
If a provision is unenforceable, the remaining provisions continue to apply to the extent legally possible. A failure to enforce a provision is not a waiver. You may not assign your agreement without our written consent. We may transfer it as part of a lawful business reorganization or sale on notice, provided the transfer does not materially reduce your contractual rights and personal information is handled lawfully. Provisions concerning intellectual property, accrued payments, liability, permitted retention and dispute resolution survive termination to the extent relevant.
These Terms, your accepted order and any applicable separately accepted or signed terms form the agreement for their subject matter. Nothing here excludes liability for fraudulent misrepresentation or overrides a statutory protection. Electronic acceptances and records may be used to the extent permitted by law. You may contact us for a copy of your accepted terms and purchase confirmation.
